These Terms of Service ("Terms") govern your use of the Wiley Media Solutions website at wileymediasolutions.com (the "Site") and the marketing services we provide (together, the "Services"). By using the Site or engaging our Services, you agree to these Terms. If you do not agree, do not use the Site or Services.
Wiley Media Solutions is a family-owned digital marketing agency based in Cookeville, Tennessee. We provide website management, local SEO, advertising, reputation management, and related services to home service businesses including roofing, HVAC, construction, and cleaning companies.

The Services we provide to clients are governed by a separate written service agreement or proposal signed between Wiley Media Solutions and the client. These Terms apply to your use of the Site itself and do not replace or modify any signed service agreement. If there is a conflict between these Terms and a signed agreement, the signed agreement controls.
Clients who engage our Services agree to pay the fees set out in their service agreement on the schedule described there. Unless otherwise stated in writing:
Either party may terminate the Services by providing written notice as specified in the client's service agreement. Unless the agreement states otherwise, we require 30 days written notice to cancel. Work completed or in progress during the notice period is billable. Cancellation of Services does not entitle you to a refund of fees already paid.
All content on the Site, including text, graphics, logos, images, and code, is owned by or licensed to Wiley Media Solutions and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Site content without our prior written consent.
Work product created for clients (such as website copy, blog posts, and ad creative) becomes the client's property upon full payment of all amounts due. Until then, all work product remains the property of Wiley Media Solutions. We retain the right to display client work in our portfolio and marketing materials unless the client requests otherwise in writing.
Our Services may involve third-party platforms such as Google, Meta, GoHighLevel, WordPress, and others. Your use of those platforms is governed by their own terms and policies. Wiley Media Solutions is not responsible for changes, outages, or policy updates made by third-party platforms that affect the delivery or performance of our Services.
We work hard to produce results for every client and stand behind our work. However, we cannot guarantee specific outcomes such as a particular search ranking, number of leads, or revenue increase. Marketing results depend on many factors outside our control, including your market, your competitors, your business operations, and algorithm changes by search engines and advertising platforms. We will always communicate honestly about what we are doing and what we are seeing.
Each party agrees to keep the other's confidential business information private and not to disclose it to third parties without consent. This includes client data, pricing, strategies, and any other non-public information shared in the course of the engagement. This obligation survives termination of the Services.
To the fullest extent permitted by law, Wiley Media Solutions will not be liable for any indirect, incidental, consequential, or punitive damages arising out of your use of the Site or Services, including but not limited to lost profits, lost revenue, or loss of data. Our total liability for any claim related to the Services will not exceed the total fees paid by you to us in the three months preceding the claim.
The Site and any information on it are provided "as is" without warranties of any kind, express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. We are not a law firm and nothing on the Site constitutes legal, financial, or tax advice.
You agree to indemnify and hold harmless Wiley Media Solutions, its team members, and its affiliates from any claims, losses, damages, or expenses (including reasonable attorney fees) arising from your use of the Site, your violation of these Terms, or any content you provide to us in connection with the Services.
These Terms are governed by the laws of the State of Tennessee without regard to its conflict of law provisions. Any dispute arising under these Terms will be resolved in the courts located in Putnam County, Tennessee, and you consent to personal jurisdiction there.
We may update these Terms from time to time. When we do, we will post the updated version on this page and change the effective date at the top. Your continued use of the Site after changes are posted means you accept the updated Terms.
